(INCUBATOR NAME), a company duly incorporated under the laws of the Republic of Cyprus, having its registered office at........................(hereinafter referred to as the "Incubator"), which expression shall include its successors and assigns,

AND
(FOUNDER NAME), holder of Passport/ID No........................., residing at ................, and/or any startup company established by the Founder pursuant to this Agreement (hereinafter referred to as the "Incubatee" or "Founder"), which expression shall include his/her successors and permitted assigns,

WHEREAS
A. The Incubator provides incubation services, mentoring, business development support, innovation guidance, networking opportunities, and strategic assistance to entrepreneurs and early-stage ventures.
B. The Founder has developed or is developing an innovative business idea and seeks support in transforming such idea into a sustainable startup company.
C. The Incubator has agreed to provide incubation services to the Founder under the terms and conditions set forth herein.
NOW THEREFORE, the Parties agree as follows:
1. OBJECTIVES
1.1 The Incubator agrees to provide incubation services to the Founder with the objective of supporting the development, validation, establishment, and growth of an innovative startup venture.
1.2 The purpose of the incubation programme shall be to:
Provide mentoring, coaching, and strategic business guidance.
Support the Founder in developing innovative technologies, products, and services.
Assist in preparing business plans, market strategies, and commercialization plans.
Facilitate access to professional networks, industry experts, investors, and strategic partners.
Support fundraising and investment readiness activities.
Provide guidance on intellectual property, innovation management, and technology development.
Assist the Founder in transforming innovative ideas into viable and scalable business ventures.
Promote entrepreneurship, innovation, and technology-driven business growth.
2. TENURE OF INCUBATION
2.1 The Incubator shall provide incubation services to the Founder commencing on .......................and continuing until .................., unless terminated earlier in accordance with this Agreement.
2.2 During the incubation period, the Incubator shall provide reasonable mentoring, advisory, networking, and business development support as determined by the Incubator.
2.3 The incubation period may be extended by mutual written agreement between the Parties, subject to the Incubator's discretion and assessment of the startup's progress.
2.4 The Founder acknowledges that the Incubator provides support and guidance only and does not guarantee the success, funding, profitability, or commercial viability of the startup venture.
3. INCUBATION SERVICES AND SUPPORT
3.1 Incubation Services
The Incubator shall provide the Founder with incubation services designed to support the development and growth of the Startup. Such services may include:
Business mentoring and strategic guidance.
Startup development and commercialization support.
Innovation and technology development advice.
Business model development and validation.
Market research and go-to-market strategy assistance.
Networking opportunities with industry experts, potential customers, partners, and investors.
Pitch preparation and investment readiness support.
Guidance regarding intellectual property, branding, and business operations.
Workshops, training sessions, and educational programmes as may be organized by the Incubator from time to time.
The Incubator shall use reasonable efforts to provide such support but does not guarantee any specific outcome, funding, investment, commercial success, or profitability.
3.2 Access to Resources
Where available, the Incubator may provide access to shared facilities, meeting rooms, co-working spaces, technological resources, online platforms, or other infrastructure required to support the Startup's development.
Any facilities provided shall remain the property of the Incubator and shall be used responsibly by the Founder. Upon termination or expiry of this Agreement, the Founder shall promptly return any property, equipment, materials, or access credentials belonging to the Incubator.
3.3 Professional Services
The Incubator may introduce or recommend third-party professionals, including but not limited to:
Legal advisors;
Accountants and auditors;
Intellectual property consultants;
Business consultants;
Technology experts;
Marketing and branding specialists;
Investment and fundraising advisors.
Any engagement between the Founder and such third-party service providers shall be subject to separate agreements between them. The Incubator acts solely as a facilitator and shall not be liable for the services provided by any third party.
3.4 Mentoring and Advisory Support
The Founder shall have access to mentoring and advisory support from the Incubator and its network of advisors, mentors, industry experts, and business professionals.
The mentoring programme may include:
Regular advisory meetings;
Business planning sessions;
Product and technology development guidance;
Commercialization and scaling strategies;
Investment and fundraising preparation;
Entrepreneurial and leadership development.
The Founder acknowledges that all advice and recommendations provided by the Incubator are consultative in nature and that all business decisions remain the sole responsibility of the Founder.
4. CONSIDERATION
4.1 Incubation Fee
In consideration for the incubation services provided under this Agreement, the Founder shall pay the Incubator an incubation fee of €............................per month (excluding VAT, where applicable).
The fee shall be payable within seven (7) days of receipt of the relevant invoice issued by the Incubator.
4.2 Equity Participation (Optional)
As consideration for the incubation services, mentoring, strategic guidance, networking support, and business development assistance provided by the Incubator, the Founder agrees to allocate to the Incubator .......................% of the issued share capital of the Startup Company upon incorporation.
The parties may execute a separate Shareholders' Agreement or Share Subscription Agreement regulating the terms of such equity participation.
4.3 Additional Services
Any services beyond the standard incubation programme, including legal, accounting, intellectual property, software development, branding, marketing, fundraising, regulatory compliance, or other specialist services, may be charged separately.
The Founder shall approve such services and fees in writing before they are provided.
4.4 Third-Party Professional Services
Where the Incubator introduces the Founder to third-party service providers, including lawyers, accountants, consultants, technology experts, or investors, any fees charged by such providers shall be borne solely by the Founder.
The Incubator acts solely as a facilitator and shall not be responsible for the quality, outcome, or performance of any third-party services.
4.5 No Guarantee of Success
The Founder acknowledges that the Incubator provides guidance, mentorship, and support services only. The Incubator does not guarantee:
(a) successful incorporation of the Startup;(b) funding or investment;(c) commercial success;(d) profitability;(e) market acceptance of the Startup's products or services.
All business decisions and associated risks remain the sole responsibility of the Founder.
5. Founder Personal Undertaking and Guarantee
The Founder acknowledges that the Incubator is providing incubation services, mentoring, strategic guidance, networking support, business development assistance, and other valuable consideration in reliance upon
